These Terms and Conditions ("Terms") are a legal agreement between you ("you", "your", or "Customer") and Roldesk Digital Solutions LLC("Roldesk", "we", "our", or "us"), a Wyoming limited liability company with its principal place of business at 30 N Gould St, Ste N, Sheridan, WY 82801, USA. By accessing or using the Roldesk web application, mobile application, website at www.roldesk.com, or any related service (collectively, the "Service"), you agree to be bound by these Terms.

If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

1. The Service

Roldesk provides field-service management software, including dispatching, scheduling, work-order management, inventory, customer portal, mobile-technician tooling, and related functionality, offered on a software-as-a-service basis under one or more subscription plans.

2. Accounts and access

  • You must be at least 18 years old to create an account.
  • You are responsible for the accuracy of the information you provide and for keeping your credentials confidential.
  • You are responsible for all activity that occurs under your account, whether or not authorised by you.
  • You must notify us immediately of any actual or suspected unauthorised use of your account.

3. Acceptable use

You agree not to, and not to allow any user to:

  • Reverse-engineer, decompile, or attempt to extract source code from the Service.
  • Use the Service to send spam, malware, or any content that is unlawful, infringing, defamatory, or harassing.
  • Interfere with the integrity, performance, or availability of the Service, including by scanning, probing, or load-testing without our written permission.
  • Use the Service to build a competing product or service.
  • Resell or sublicense the Service except as expressly permitted in writing.
  • Circumvent any access controls or usage limits.

4. Subscriptions, fees, and billing

  • Subscription tiers and fees are described on the pricing page and the order form for any negotiated plan. Fees are billed in advance for the subscription term you select (monthly or annual).
  • Unless otherwise stated, fees are non-refundable. Where required by law, refunds will be issued in accordance with that law.
  • You authorise us (or our payment processor) to charge your designated payment method for all fees due.
  • We may change our pricing on renewal with at least thirty (30) days' advance notice. Continued use of the Service after a pricing change takes effect constitutes acceptance of the new pricing.
  • Trial periods, if offered, are described on the pricing page. After a trial ends, your workspace may be downgraded to a free tier or paused until you select a paid plan.

4a. EU/UK consumers — right of withdrawal

If you are a consumer resident in the EU/EEA or the UK, you have the right to withdraw from a paid subscription within fourteen (14) days of purchase without giving any reason. To exercise this right, send an unequivocal statement to info@roldesk.com (you may use the EU/UK model withdrawal form, but it is not obligatory).

Express request to start during the withdrawal period. By placing an order, you expressly request that we begin providing the Service immediately, before the end of the 14-day period. You acknowledge that if you withdraw after we have begun providing the Service, you must pay us an amount proportional to what has been performed up to the point you communicated your withdrawal, compared to the full coverage of the contract. Once the Service has been fully performed for the billing period, the right of withdrawal is lost.

5. Customer data

  • Ownership. You retain all rights, title, and interest in the data you upload, create, or generate inside the Service ("Customer Data").
  • Licence to us. You grant us a worldwide, non-exclusive, royalty-free licence to host, process, transmit, and display Customer Data solely as needed to provide and improve the Service.
  • Your responsibilities. You are responsible for the lawfulness of the Customer Data you submit and for obtaining any consents required for our processing of personal information contained in it.
  • Backups. We maintain reasonable backups of Customer Data for operational continuity. You remain responsible for keeping your own export copies if required.
  • Data Processing Addendum (DPA). Where the Customer Data includes personal data of EU/EEA, UK, or California residents, the Roldesk Data Processing Addendum (incorporating EU Standard Contractual Clauses and the UK International Data Transfer Addendum where required) is incorporated by reference into these Terms for paid subscriptions. 6. Intellectual property

The Service, including its software, design, trademarks, logos, and documentation, is owned by Roldesk and our licensors and is protected by intellectual-property laws. Except for the limited licence granted to use the Service, no rights are transferred to you. Feedback you provide may be used by us without restriction or obligation.

7. Confidentiality

Each party agrees to protect the other party's confidential information using the same degree of care it uses for its own confidential information, and to use such information only to perform its obligations under these Terms.

8. Third-party services

The Service may integrate with third-party services (e.g. payment processors, email providers, mapping services). Use of those services is governed by their own terms. We are not responsible for the availability, content, or practices of any third-party service.

9. Termination

  • By you. You may cancel your subscription at any time from your account settings. Fees paid for the current term are non-refundable except as required by law.
  • By us. We may suspend or terminate your access if you materially breach these Terms, fail to pay fees when due, or use the Service in a way that creates risk for us or other users. We will give reasonable notice where practical.
  • Effect of termination. Upon termination, your right to use the Service ends. We will retain Customer Data in accordance with our Privacy Policy and applicable law, then delete or anonymise it.

10. Disclaimers

The Service is provided "as is" and "as available". To the maximum extent permitted by law, Roldesk disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.

11. Limitation of liability

To the maximum extent permitted by law, Roldesk and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising out of or related to these Terms or the Service. Our total liability for all claims relating to the Service will not exceed the amounts you paid us for the Service in the twelve (12) months immediately preceding the event giving rise to the claim, or one hundred US dollars (US$100), whichever is greater.

EU/UK consumers. Nothing in this section limits or excludes our liability for (a) death or personal injury caused by our negligence, (b) fraud or fraudulent misrepresentation, or (c) any other liability that cannot be limited or excluded under the law of the country of your habitual residence. If you are a consumer in the EU/EEA or the UK, your statutory rights are not affected by these Terms.

12. Indemnification

You agree to defend, indemnify, and hold harmless Roldesk and its affiliates from and against any claims, damages, liabilities, and costs (including reasonable legal fees) arising out of (a) your Customer Data, (b) your use of the Service in violation of these Terms or law, or (c) your infringement of any third-party right.

13. Governing law and dispute resolution

These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Sheridan County, Wyoming, and the parties consent to personal jurisdiction in those courts. Nothing in this section prevents a party from seeking injunctive or equitable relief in any court of competent jurisdiction.

Consumers in the European Union, European Economic Area, and United Kingdom.Nothing in these Terms deprives you of the protection of mandatory consumer-protection laws of the country in which you have your habitual residence. If you are a consumer in the EU/EEA or the UK, you also benefit from the mandatory provisions of the law of your country, and you may bring proceedings in the courts of your country of residence in addition to the courts of Wyoming. The European Commission provides an online dispute-resolution platform at ec.europa.eu/consumers/odr; we are not obliged to participate in alternative dispute resolution but you may use that platform to lodge a complaint.

14. Changes to the Terms

We may update these Terms from time to time. If we make material changes, we will give reasonable advance notice (typically by email and by posting the updated Terms in the Service). Your continued use after the effective date constitutes acceptance of the updated Terms.

15. General

  • Entire agreement. These Terms, together with our Privacy Policy and any order form, constitute the entire agreement between you and Roldesk regarding the Service.
  • Severability. If any provision is held unenforceable, the remaining provisions remain in effect.
  • No waiver. Failure to enforce a provision is not a waiver of the right to enforce it later.
  • Assignment. You may not assign these Terms without our prior written consent. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.
  • Notices. Notices to us should be sent to info@roldesk.com. Notices to you may be sent to the email associated with your account.
